The above terms and conditions apply to all sales and deliveries from Ulinco AB unless we have offered otherwise in writing.
Definitions in these terms and conditions
- "Seller" means Ulinco AB.
- "Contract" means an agreement between the Seller and the Buyer for the sale by the Seller to the Buyer of products or goods of any kind.
- "Goods" means any article or product sold by the Seller.
- "Products" means a product or products or any mixture or combination agreed in any contract, to be delivered to the Buyer.
- "Buyer" means any person, company or organisation that buys or has agreed to buy goods or products from the Seller.
- "Working day" means the days of the week Monday to Friday, unless a public holiday (or bank holiday) has been declared by the Swedish Government.
The Seller shall be under no obligation to accept the return of goods which do not fulfil the Buyer's requirements or which were ordered incorrectly. The Seller's decision to accept the return of goods on credit shall not affect the Buyer's obligation to pay the price thereof on the due date for payment and such credit shall not exceed 90 % of the goods and shall be conditional upon the goods and packaging being returned without damage or marking within 30 days of the Seller's invoice.
Major Force
1.1 The Seller shall not be liable for any loss or damage suffered by the Buyer by reason of natural disaster, war, riot, fire, strike, lockout, governmental control or regulation, abnormal weather and transport conditions, accident, breakdown, interruption of electricity supply, non-delivery by suppliers or other circumstances beyond the Seller's control which could not reasonably be foreseen and in such case, to the extent that the contract has not been performed, the Seller may either cancel the contract and refund any advance payment received or postpone delivery for such time as may be necessary.
1.2 A Party wishing to invoke Force Majeure under paragraph 1.1 shall promptly notify the other Party in writing.
1.3 In the event that Force Majeure under Clause 1.1 prevents the Buyer from fulfilling its obligations, the Buyer shall compensate the Seller for any additional costs incurred.
1.4 If a case of Force Majeure under paragraph 1.1 persists for more than 6 months, either party has the right to terminate the contract in writing.
1.5 If the Buyer cancels the contract in accordance with Clause 1.4, he shall be obliged to purchase or reimburse the Seller for purchases of materials and work in progress made up to the time when the said Force Majeure is notified in writing to the Seller.
Confidentiality
2.1 Any drawings, proposals, descriptions, models, samples or other data or documents provided by one Party to the other Party shall remain the copyright and property of the Party providing them and may not be copied or reproduced without its consent and such documents shall be returned if the Agreement is not concluded or performed.
2.2 Any trade secrets or confidential information provided by either Party to the other Party shall be kept confidential and shall not be disclosed to third parties without the consent of the Party providing the information.
